User Agreement & Tax Verification Waiver

Last updated: October 8, 2026

1. Agreement to Terms

By creating an account or using TaxSlate, Inc. ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not create an account or use the Service. Your continued use of the Service after any changes to these Terms constitutes acceptance of the updated Terms.

2. Eligibility & Account

You must be at least 18 years old and authorized to act on behalf of the accounting firm you represent. You are responsible for maintaining the accuracy of your account information and for keeping your login credentials secure. You are accountable for all activity that occurs under your account.

3. Description of Service

TaxSlate, Inc. provides accounting firms with a toolkit of tools for tax analysis, S Corp savings modeling, entity planning, amortization scheduling, reasonable compensation analysis, tax return priming, workpaper sorting, and client-ready report generation. The Service is offered under a flat monthly subscription model.

4. Tax Information Verification & Disclaimer (Critical)

This section is the core waiver you acknowledge by creating an account.

You acknowledge and agree that:

  • All reports, analyses, calculations, salary recommendations, and outputs generated by TaxSlate, Inc. tools are provided for informational and productivity purposes only and do not constitute tax, legal, or accounting advice.
  • TaxSlate, Inc. uses artificial intelligence, automated calculations, and third-party data sources that may produce errors, omissions, outdated information, or results that are not appropriate for a specific tax situation.
  • You are solely and exclusively responsible for verifying all information, figures, calculations, salary recommendations, and conclusions contained in any report or output before relying on, filing, or presenting such information to any client, taxing authority, or third party.
  • You must independently confirm that all data inputs are accurate, all calculations are correct, all market data is current and applicable, and all conclusions are appropriate for the specific taxpayer's situation before any report is used or relied upon.
  • TaxSlate, Inc., its operators, and affiliates are not liable for any damages, tax penalties, interest assessments, professional liability claims, or losses of any kind arising from reliance on any report or output generated by the tools.
  • The tools do not replace the professional judgment of a qualified tax practitioner, enrolled agent, or CPA. You remain responsible for all professional opinions and filings you produce.
  • Reasonable compensation reports, S Corp savings analyses, and entity recommendations are estimates based on available data and assumptions — they are not determinations by the IRS or any taxing authority.

5. User Responsibilities

  • You are responsible for all data uploaded to and generated within the Service, including taxpayer and client information.
  • You must have proper authorization, consent, and legal basis before uploading any taxpayer or client data to the platform, in compliance with IRS Publication 1075, GLBA, and applicable privacy laws.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • You agree to use the Service in compliance with all applicable federal, state, and local laws and regulations, including IRS rules and professional conduct standards.
  • You agree not to misuse the Service, including attempting to access other firms' data, reverse-engineering the platform, or using the tools for any unlawful purpose.

6. Data Ownership and Retention

You and your clients own the client and taxpayer data you upload. TaxSlate, Inc. receives only a limited, non-exclusive license to process that data to provide, secure, and support the Service.

Retention varies by data category, and you control when saved data is deleted:

  • Client records persist until you delete them. Creating a client record stores it. TaxSlate, Inc. does not automatically remove client records; they remain in your firm's account until you manually delete them.
  • Draft tool data is deleted after 7 days. Unsaved draft reports, unsorted workpaper batches, incomplete tax return primers, and draft analyses are automatically deleted approximately seven (7) days after creation.
  • Document-request submissions are purged after 30 days. Files and answers a client uploads in response to a document request are cleared approximately thirty (30) days after receipt. The request itself is retained; only the received content is removed.
  • Finalized records follow your retention setting. Completed and finalized analyses are retained according to your firm's configured retention period (default seven years) and then automatically deleted.
  • You can delete saved records at any time. Data is not stored only when you mark it saved; some information is stored as part of using a tool or creating a client record. You can delete saved records through the tools at any time.
  • You are responsible for exporting or downloading any reports you wish to keep outside the platform. TaxSlate, Inc. is not a permanent archival system for taxpayer records. You should maintain your own records in compliance with IRS recordkeeping requirements (generally 3–7 years) and applicable state law.
  • Do not upload taxpayer data to the platform unless you have the necessary authorization and consent to do so under applicable law and professional standards, including IRS Section 7216.

7. Privacy and Data Processing

Your use of the Service is also governed by our Privacy Policy and Data Processing Addendum ("DPA"), both of which are incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy and DPA. The DPA describes how TaxSlate, Inc. processes firm and client data, the roles of the parties, and security and retention commitments.

8. Intellectual Property and Data Ownership

All software, branding, design, and content of TaxSlate, Inc. remain the property of TaxSlate, Inc. and its licensors. Reports and outputs you generate using the tools belong to you and your firm, subject to the verification responsibilities described in Section 4.

You and your clients retain ownership of all client and taxpayer data you upload to the Service. TaxSlate, Inc. receives only a limited, non-exclusive license to process that data as necessary to provide, secure, support, and improve the Service. TaxSlate, Inc. does not sell, rent, or trade your data, and does not use your client data to train AI models.

9. Limitation of Liability

TaxSlate, Inc. is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of accuracy, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, TaxSlate, Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to tax penalties, interest, professional liability, lost profits, or data loss, arising from your use of or reliance on the Service.

10. Indemnification

You agree to indemnify and hold harmless TaxSlate, Inc., its operators, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your reliance on any generated report or output, your upload of taxpayer data, or your violation of these Terms.

11. Subscription, Billing & Termination

The Service is offered under a flat monthly subscription. Subscriptions renew automatically until canceled. You may cancel your subscription at any time; access continues until the end of the current billing period. We may suspend or terminate your account for violation of these Terms, nonpayment, or to protect the integrity of the platform. Upon termination, your data may be deleted in accordance with the Data Retention Policy.

12. Modifications to Terms

We may update these Terms from time to time. We will notify users of material changes. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the applicable jurisdiction without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
